Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On February 7, 2023, the Board of Directors (the “Board”) of 3M Company (the “Company”) approved amended and restated Bylaws of the Company (the “Amended and Restated Bylaws”), effective as of such date. In connection with the new Securities and Exchange Commission rules regarding universal proxy cards and a periodic review of the Bylaws by the Company, the Amended and Restated Bylaws, among other things, (a) add a requirement that a stockholder submitting a nomination notice make a representation as to whether such stockholder intends to solicit proxies in support of their nominees from the holders of at least 67% of the outstanding shares of the Company’s common stock and deliver reasonable evidence of compliance with the requirements of Rule 14a-19 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”) at least five business days before the applicable meeting; (b) require a stockholder submitting a nomination or other business to provide certain additional information (such as information relating to a nominee’s independence or eligibility
to serve as a director) as reasonably required by the Company within five business days of any such request; (c) incorporate a definition of beneficial ownership; and (d) require that a stockholder directly or indirectly soliciting proxies from other stockholders use a proxy card color other than white. The Amended and Restated Bylaws also make certain other technical and conforming revisions and clarifications.
