REGISTRATION OF ADDITIONAL SECURITIES
The purpose of this Registration Statement is to register 29,000,000 additional shares of 3M Companys common stock, par value $0.01 per share (the Common Stock) for issuance under the Companys 2008 Long-Term Incentive Plan (the Plan). The Common Stock registered hereunder is in addition to the 35,000,000 shares of Common Stock in connection with the Plan previously registered on the Companys Form S-8 filed on May 20, 2008 (Commission File No. 333-151039) (the Prior Registration Statement).
This Registration Statement is submitted in accordance with General Instruction E to Form S-8 regarding Registration of Additional Securities. Pursuant to Instruction E, the contents of the Prior Registration Statement are incorporated by reference and made part of this Registration Statement, except as amended hereby.
