On December 14, 2021, 3M Company (“3M”) and Neogen Corporation (“Neogen”) issued a joint press release announcing the execution of certain definitive agreements providing for a combination of Neogen and the Food Safety Department of 3M on the terms and conditions set forth in such agreements. A copy of the joint press release is furnished as Exhibit 99 hereto and incorporated herein by reference.
